Silvergrove represents middle market companies in sell-side transactions. Our sell side engagements range from representing clients in highly competitive auction processes to representing them in exclusive negotiations with a particular acquirer. The structure of our sell-side transactions also varies from outright strategic stock and asset sales to control and non-control recapitalizations where our clients retain an equity ownership position in their companies. Our clients’ may be motivated to sell by a number of factors, including an unsolicited approach from an acquirer, the desire for liquidity and diversification, or the changing competitive dynamics in their industries. Regardless of the situation, we understand the importance of our clients’ decisions to sell their companies. Therefore, each of our sell-side clients receives the intensive senior level focus required for successful execution of these complex transactions.

At Silvergrove, we have knowledge and experience in the unique investment processes and acquisition criteria of the largest and most active foreign and domestic, public and private, strategic and financial acquirers of middle market companies. This knowledge and experience allows us to work with our clients to strategically position their companies in a way that maximizes interest from potential acquirers. Our experience is that a competitive sale process will oftentimes maximize valuation for our clients’ companies. It is also our experience that the highest valuation for our clients’ companies is oftentimes not from the obvious acquirers. Therefore, we conduct an exhaustive global search to identify potential acquirers for our clients’ companies. We prioritize those acquirers that are well capitalized with the financial capacity to execute a transaction; those acquirers with a strong strategic rationale and motivation for an acquisition; and those acquirers with a strong history and track record of completing successful acquisitions. We approach potential acquirers on behalf of our clients; assist them in soliciting and negotiating indicative offers, term sheets, final offers, purchase agreements and all ancillary documents required for closing a transaction; and coordinate all aspects of the due diligence process including financial, legal, accounting, environmental and HR. The senior level attention we invest in executing each sell-side engagement places us in a position to achieve the best possible outcome for our clients in every transaction.
